Licensing Agreement
This Software Licensing Agreement ("Agreement") is entered into between Cybriv ("Licensor"), a company committed to ethical practices and innovation, and the individual or entity that accepts the terms of this Agreement ("Licensee"). By accepting this Agreement, Licensee agrees to be bound by its terms and to respect the integrity of the software and services provided by Cybriv.
License Grant
Subject to the terms and conditions of this Agreement, Cybriv grants Licensee a non-exclusive, non-transferable, and revocable license to use the software ("Software") provided by Cybriv. This license allows Licensee to install and use the Software on a single computer or device, for its intended purpose and in accordance with Cybriv’s values of creativity, security, and collaboration. This license is granted unless the software is sold, in which case the terms of the sale will supersede the licensing conditions.
License Restrictions
No Unauthorized Distribution or Transfer: Licensee may not sublicense, sell, assign, or transfer the Software to any third party, except as part of an explicit, separate agreement for the sale of the software.
Respecting Integrity: Licensee may not modify, reverse engineer, decompile, or disassemble the Software, as doing so compromises the integrity of the product and violates Cybriv’s commitment to quality.
No Unauthorized Sharing: Licensee may not distribute, share, or make the Software available over a network, in whole or in part, unless expressly authorized by Cybriv.
Intellectual Property
The Software is the intellectual property of Cybriv and is protected by copyright, trademark, and other intellectual property laws. Licensee acknowledges that this Agreement does not grant Licensee any ownership or rights to the Software. Cybriv retains all rights to modify, distribute, or license the Software in accordance with our ethical practices.
Termination
Cybriv reserves the right to terminate this Agreement at any time if Licensee fails to comply with its terms, including violation of intellectual property rights or unauthorized distribution. Upon termination, Licensee must immediately cease using the Software and destroy all copies to protect the integrity and security of Cybriv’s products.
Warranty Disclaimer
The Software is provided "as is," and Cybriv disclaims all warranties, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Cybriv makes every effort to ensure the Software meets high standards of quality and usability, but no software is without risks, and the Software is provided with full transparency on its limitations.
Limitation of Liability
Cybriv shall not be liable for any damages, including but not limited to, direct, indirect, special, or consequential damages arising from the use or inability to use the Software, except as required by law. We encourage Licensees to engage with our customer support team for assistance to avoid such issues.
Entire Agreement
This Agreement represents the entire understanding between the parties regarding the use of the Software and supersedes any previous agreements or representations made. It is designed to protect both Cybriv’s intellectual property and Licensee’s experience, ensuring fair use and responsible engagement.
By accepting the terms of this Agreement, Licensee acknowledges that they have read, understood, and agree to be bound by its terms, aligning with Cybriv’s principles of respect, innovation, and quality.
